Terms of Service

1. Acceptance of Terms

By accessing and using ezpay, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

ezpay is a restaurant point-of-sale (POS) system provided as a software-as-a-service (SaaS) platform. It enables restaurants to manage orders, inventory, staff, and reporting through a web-based interface. The service requires an active internet connection and modern web browser to operate.

3. Accounts and Responsibilities

When you create an account, you are responsible for:

• Maintaining the confidentiality of your account credentials and login information
• All activity that occurs under your account, whether authorized by you or not
• Providing accurate, complete, and current account information
• Updating your information as it changes
• Using the service only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the service

4. Payment Processing

ezpay is not a payment processor. You must provide and maintain your own Stripe account to process card payments through ezpay. By using ezpay to process payments, you agree to Stripe's Services Agreement and acknowledge that:

• Your Stripe account is your responsibility and you are solely liable for its operation and compliance
• Card payments are processed by Stripe and deposited directly to your linked bank account
• ezpay does not hold, control, or have access to your payment funds
• You are responsible for all payment disputes, chargebacks, and related issues through Stripe
• You must comply with all Stripe policies, PCI-DSS standards, and applicable payment regulations

5. Fees and Billing

Subscription fees are charged on a monthly basis per location. Billing terms are as follows:

• Fees are calculated and charged monthly based on your selected plan
• Billing is charged to the credit card or payment method on file
• You may cancel your subscription at any time; cancellation takes effect at the end of your current billing cycle
• No refunds are provided for partial months or unused service
• Price changes may occur with 30 days' notice; continued use of the service constitutes acceptance

6. Acceptable Use Policy

You agree not to use ezpay for any purpose that is:

• Illegal or violates any applicable law or regulation
• Fraudulent or involves unauthorized access to systems or accounts
• Harmful to minors, including child sexual abuse material
• Defamatory, abusive, harassing, or discriminatory
• Interferes with the operation or security of the service
• Infringes intellectual property rights
• Transmits malware, viruses, or harmful code

7. Data Ownership

You retain all rights to your restaurant and business data, including menus, orders, customer information, and staff records. You grant ezpay a license to store, process, and use your data solely to provide the service to you. You may export or delete your data at any time, subject to the terms of our Privacy Policy.

8. Warranties Disclaimer

ezpay is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

• Merchantability, fitness for a particular purpose, or non-infringement
• That the service will be uninterrupted, error-free, or secure
• That defects will be corrected
• That the service will meet your specific requirements

9. Limitation of Liability

To the maximum extent permitted by law, ezpay, its affiliates, and their officers, directors, and employees shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenue, data, or business opportunity
• Damages arising from interruptions, bugs, errors, or service unavailability

Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.

10. Termination

We may terminate or suspend your account and access to the service at any time, for any reason, with or without notice, if you violate these terms or any applicable law. Upon termination, your right to use the service ceases immediately. You remain responsible for any outstanding fees. We will make your data available for export for 30 days following termination.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes become effective when posted to the site. Continued use of the service following notice of changes constitutes your acceptance of the modified terms. If you do not agree to the changes, you may terminate your account.

12. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United States, and you irrevocably submit to the exclusive jurisdiction of the courts located in that jurisdiction.
